Definitions

“Company”

UDBA 10 LLC dba The Links of Lakeville & URN 8 LLC dba The Links of Stillwater.

“Equipment”

Golf equipment including but not limited to golf clubs, golf balls, tees, gloves and footwear, as well as electronic golf simulators and all of their ancillary equipment.

“Facility”

The Company's facilities located at 17630 Juniper Path, Suite H, Lakeville, MN 55044 & 5862 Omaha Ave N, Stillwater, MN 55082.

“Golfing”

Use of the Facility and/or Equipment.

Acknowledgement and assumption of risk

By coming to the facility, using the equipment, being around the equipment, or golfing, you accept that it carries risks, hazards and dangers. Those include, but are not limited to: equipment malfunction, or defective or negligent design or manufacture of equipment; careless or negligent instruction or supervision; slips, falls, accidents and collisions; the negligence of other people; and being hit by a club, a ball, equipment or any other object that comes loose — any of which may injure you or your property, or a minor with you or theirs. You knowingly and freely accept and assume all of them.

You also confirm that:

• You are solely responsible for your own health and safety.
• You are physically capable of golfing and using the equipment.
• You have no pre-existing physical or medical condition that would put you or anyone else at risk while golfing or using the equipment.
• You are at least 18 years of age.
• You will tell staff immediately if you notice damaged equipment, and you will not use it — damaged equipment raises every one of the risks above.

Release of liability

In return for being allowed into the facility to watch or to play, you — on behalf of yourself, your personal representatives, heirs, successors, assigns, guardians and legal representatives — fully and forever release, waive, discharge, hold harmless, defend and indemnify the Company and its affiliates, contractors, agents, employees, officers, directors and shareholders (the “Releasees”) from any and all claims, demands, suits, actions, causes of action or liability of any kind, for any damages, losses, injuries, death, costs or expenses (including legal fees and disbursements) arising out of or relating to:

• your attendance at the facility;
• your golfing and/or use of the equipment;
• anything done by a third party, including other people at the facility, golfing, or using the equipment; and
• any negligent or intentional acts, whether directly or indirectly connected to the facility, golfing or the equipment.

For the avoidance of doubt, you agree to hold harmless and indemnify the Company and the Releasees from all liability for any damage whatsoever, including loss of property or personal injury, resulting from your attendance, your golfing, or your use of the equipment.

Safety rules

You agree to follow the Company's safety rules at all times. They include, but are not limited to:

• Before you swing, check that nobody is close enough to be hit by the club.
• Pay attention to what is going on around you.
• Only swing inside the designated area of the bay, and only to hit into the simulator.
• Do not swing until everyone is behind the caution line or behind the tables at each bay.
• Watch your step. The hitting platform moves during play, and a moving floor is a trip hazard.
• Stay behind the caution line while somebody else is hitting.
• No food or drink past the caution line.
• Keep your drinking to a level that does not make you a risk to yourself or anyone else.

General provisions

You acknowledge that the Releasees rely on this waiver in letting you in, and that without it you would not be allowed to attend, golf, or use the equipment.

You acknowledge that while you are at the facility the Company or its agents may take photographs, video or other recordings of you or any minor with you, and may use them — along with your name and likeness, and that of any minor — in advertising, promotional material and any other media.

This waiver is the entire agreement between the parties on this subject and supersedes all other agreements, oral or written. Except as provided here, it may not be amended or modified except in writing signed by both parties. Headings and numbering are for convenience only and do not affect interpretation, and words like “hereof”, “herein” and “hereunder” relate to the whole waiver rather than to the clause they sit in.

If any term is found invalid or unenforceable, the rest still stands and applies separately, and the unenforceable term is treated as amended only as far as needed to make it enforceable while keeping the parties' intent. This waiver is governed by the laws of the State of Minnesota and the applicable laws of the United States, and each party irrevocably submits to the exclusive jurisdiction of the Minnesota courts. Any reference to gender includes all genders, and the singular includes the plural and vice versa.

If you bring anyone under 18

You represent that you are the parent, legal guardian or authorised custodian of any person under 18 (the “Minor”) who comes in with you or whom you bring in, and that you have the legal authority to sign this waiver on their behalf. You agree to indemnify and hold harmless the Company and the Releasees against any claim the Minor has now or may have in future arising out of their attendance, golfing or use of the equipment. If you do not in fact have that authority, you agree to indemnify the Company and the Releasees against any and all claims made by the Minor or their legal representatives.

You also confirm that:

• the Minor is physically capable of golfing and using the equipment;
• the Minor has no pre-existing physical or medical condition that would put them or anyone else at risk while golfing, using the equipment or being in the facility;
• the Minor will be supervised by you throughout their stay; and
• the Company is not responsible for loss of the Minor's property while they are at the facility.

I HAVE READ THIS LIABILITY WAIVER, I FULLY UNDERSTAND ITS TERMS, I UNDERSTAND THAT I AM GIVING UP RIGHTS BY ENTERING INTO THIS LIABILITY WAIVER INCLUDING WAIVING CERTAIN LEGAL RIGHTS WHICH I OR MY HEIRS, NEXT OF KIN, EXECUTORS, ADMINISTRATORS, ASSIGNS AND REPRESENTATIVES MAY HAVE AGAINST THE COMPANY AND THE RELEASEES AND I DO SO FREELY AND VOLUNTARILY WITHOUT ANY INDUCEMENT.
